1. PARTIES & ENGAGEMENT

This Advertising Services Agreement (the "Agreement") is entered into on between:

BREAKING NEWS–NEGROS-ORIENTAL NEWS AGENCY SERVICES (NATIONAL), a DTI-registered sole proprietorship (DTI Business Name No. 6392353, valid 18 August 2024 – 18 August 2029) and BIR Non-VAT registered, with principal office at Maslog, Sibulan 6201, Negros Oriental, represented by its registrant Kenneth Lucio Llera Tenebro ("Publisher"); and

The undersigned advertiser identified in the signature section below ("Client"); collectively the "Parties."

The Publisher agrees to provide advertising and promotional services through the BNNO Facebook page (facebook.com/BREAKINGNEWSNEGOR), its mirror page, and its websites breakingnewsnegor.com and breakingnewsnegrosoriental.com, in accordance with the package and brief submitted by the Client.

2. SERVICES & DELIVERABLES

Specific deliverables are governed by the Client's selected package, which is incorporated into this Agreement by reference. Deliverables are itemized in the BNNO Media Kit and on the Official Receipt issued upon payment confirmation.

All content produced under this Agreement remains the editorial product of the Publisher. The Publisher reserves the right to apply editorial standards consistent with Philippine journalistic practice and applicable law.

3. SITE VISIT & PRODUCTION COMMITMENT

• For all monthly packages (Sugod, Asenso, Bida), the Publisher commits to a free on-site visit at the Client's business location within 48 hours of receipt of full payment.
• During the site visit, the Publisher will conduct a professional photo and/or video shoot, gather product/service details, and capture any additional materials needed for ad production.
• The Client agrees to make the business location and an authorized representative available during the agreed site-visit window.
• If the Client postpones the site visit beyond seven (7) days from payment, the Publisher reserves the right to begin the 30-day campaign cycle on the originally scheduled posting date with available stock or client-supplied creative.
• À la carte single-item bookings do not include a site visit unless explicitly added at standard rates.

4. PAYMENT TERMS

• Full payment is required upon checkout to confirm the booking. No mid-cycle balance applies.
• Payment method: Secure online payment via PayMongo (GCash, Maya, QRPh, or major credit/debit card). The Client is directed to the Publisher's secure PayMongo checkout for the full package amount immediately after signing this Agreement.
• An Official BIR-registered Service Invoice (OR) will be hand-issued and emailed to the Client upon payment verification, citing the Publisher's registered business name (DTI No. 6392353) and BIR Non-VAT Registered.
• All prices are quoted in Philippine Peso (PHP) and are VAT-inclusive where applicable.
• Bookings are not considered confirmed until full payment is verified.

5. CONTENT, APPROVALS & REVISIONS

• For monthly packages, the Publisher will produce all creative based on the site visit and the Client's brief.
• The Client supplies any additional brand assets (logos, prior photos, factual product/service information) within 48 hours of payment.
• The Publisher delivers draft content for Client review within 72 hours of completing the site visit.
• The Client is entitled to two (2) rounds of revisions per asset. Additional revision rounds may incur fees at standard rates.
• Failure to approve drafts within 48 hours of submission constitutes implicit approval; content will be published as drafted.

6. EDITORIAL STANDARDS & PROHIBITIONS

The Publisher reserves full editorial discretion. The following content will not be published under any circumstances:

• False, misleading, or unsubstantiated claims about products or services
• Content violating the Consumer Act of the Philippines (RA 7394) or DTI regulations
• Promotion of gambling, predatory lending, multi-level marketing schemes, or unlicensed financial products
• Content defaming third parties or making unverified competitive comparisons
• Material that the Publisher, at its sole discretion, deems harmful to its editorial reputation

Sponsored content will be clearly marked per Philippine advertising disclosure norms (e.g., "Sponsored," "Paid Partnership," or equivalent).

7. PERFORMANCE & REPORTING

The Publisher commits to executing the agreed deliverables on schedule but makes no guarantees regarding specific engagement metrics, sales outcomes, or follower conversions, as these depend on factors outside the Publisher's control. Monthly packages include a mid-cycle creative check-in and an end-of-cycle performance recap covering reach, engagement, and audience breakdown.

8. CANCELLATION & REFUNDS

• The Client may cancel before the site visit for a full refund.
• After the site visit has been conducted, refunds are prorated against deliverables already produced. Posts already published are non-refundable.
• The Publisher may terminate this Agreement immediately if the Client's content violates Section 6, or if the Client repeatedly cancels or reschedules the site visit beyond fourteen (14) days from payment.

9. INTELLECTUAL PROPERTY

The Client retains ownership of brand assets it provides. The Publisher retains ownership of original creative work (write-ups, Reels, photos, videos, graphics) produced under this Agreement, while granting the Client a non-exclusive, perpetual license to reuse such work on the Client's own channels with appropriate attribution.

10. CONFIDENTIALITY

Both Parties agree to maintain confidentiality regarding non-public business information disclosed during the engagement.

11. GOVERNING LAW

This Agreement is governed by the laws of the Republic of the Philippines. Any disputes shall be resolved in the appropriate courts of Dumaguete City, Negros Oriental, after good-faith attempts at amicable settlement.

12. ELECTRONIC SIGNATURE

The Parties agree that this Agreement may be executed and accepted electronically. By typing the Client's full legal name in the signature field and submitting payment, the Client affirms full understanding and acceptance of all terms herein, with the same legal effect as a handwritten signature under the Electronic Commerce Act of the Philippines (RA 8792).
